Article I – Name and Purpose

  1. Name: The name of this organization shall be the Simpson Cancer Society.
     
  2. Purpose: The Simpson Cancer Society is organized exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. Its mission is to support cancer patients and their families through financial assistance, education, advocacy, and community outreach.
     

Article II – Offices

  1. Principal Office: The principal office of the corporation shall be located in [City, State].
     
  2. Other Offices: The corporation may establish additional offices as determined by the Board of Directors.
     

Article III – Board of Directors

  1. Authority: The Board of Directors is the governing body of the organization and is responsible for policy, oversight, and direction.
     
  2. Number & Tenure: The Board shall consist of not fewer than three (3) and not more than fifteen (15) directors. Directors shall serve a term of three (3) years and may be re-elected.
     
  3. Duties: Directors shall:
     
    • Uphold the mission and values of the corporation.
       
    • Approve budgets and oversee financial integrity.
       
    • Establish policies for governance and operations.
       
    • Hire and evaluate the Executive Director.
       

  1. Meetings: The Board shall meet at least quarterly. Special meetings may be called by the President or a majority of the Directors.
     
  2. Quorum: A majority of directors shall constitute a quorum.
     
  3. Voting: Each Director shall have one vote. No proxy voting shall be permitted.
     
  4. Compensation: Directors shall not receive compensation for their services but may be reimbursed for approved expenses.
     

Article IV – Officers

  1. Officers: The officers of the corporation shall include a President, Vice President, Secretary, and Treasurer. Additional officers may be appointed as needed.
     
  2. Duties:
     
    • President: Presides at meetings, provides leadership, and represents the organization.
       
    • Vice President: Acts in the absence of the President.
       
    • Secretary: Maintains minutes and corporate records.
       
    • Treasurer: Oversees financial accounts, reports, and compliance.
       

  1. Election & Term: Officers shall be elected annually by the Board of Directors.
     

Article V – Committees

  1. Standing Committees: The Board may establish committees such as Finance, Fundraising, and Programs.
     
  2. Authority: Committees shall have authority as delegated by the Board but may not act independently of Board oversight.
     

Article VI – Executive Director

  1. The Board may appoint an Executive Director to manage day-to-day operations.
     
  2. The Executive Director shall be accountable to the Board and act in accordance with its policies and directives.
     

Article VII – Conflict of Interest

  1. Directors and officers must disclose any actual or potential conflicts of interest.
     
  2. No Director shall vote on matters where a conflict exists.
     

Article VIII – Fiscal Year

The fiscal year of the corporation shall be January 1 through December 31.

Article IX – Amendments

These bylaws may be amended by a two-thirds (2/3) vote of the Board of Directors at any meeting, provided that written notice of the proposed amendment has been distributed at least seven (7) days prior.

Article X – Dissolution

Upon dissolution of the Simpson Cancer Society, all remaining assets shall be distributed to one or more organizations that qualify under Section 501(c)(3) of the Internal Revenue Code, as determined by the Board of Directors.
